Terms of Service

The agreement between you and Forge The Stack.

1. Acceptance of Terms

By accessing or using the Forge The Stack website and services (“Services”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Services

Forge The Stack provides:

  • Custom website design and development
  • Website hosting and maintenance packages
  • SEO monitoring and optimization
  • Client portal access for project management and billing

3. Client Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. Payment Terms

  • Website build projects require a 50% deposit to begin, with the balance due upon completion
  • Monthly management packages are billed on the first of each month
  • All payments are processed securely through Stripe
  • Invoices for custom work are due within 30 days of issuance
  • Late payments may incur a 1.5% monthly fee after 30 days

5. Intellectual Property

One-time build clients receive ownership of final client-specific deliverables after full payment, excluding Forge The Stack's pre-existing frameworks, reusable components, deployment tooling, utilities, and general know-how.

Managed subscription clients receive a non-exclusive, non-transferable license to use the delivered site and client-specific assets while the account remains active and paid. Third-party assets (fonts, stock images, plugins) remain subject to their own licenses.

Forge The Stack uses completed client work in portfolio or marketing materials only when the client grants that permission in a signed agreement or later written consent.

6. Website Ownership & Repository

All website source code is maintained in Forge The Stack's company GitHub organization. For one-time build projects, upon full payment you receive a complete client-specific code snapshot that you may host, modify, and deploy independently.

Forge The Stack retains its original repository, reusable systems, and internal tooling. Your domain registrations remain in your name unless otherwise arranged.

Managed-hosting clients' sites are deployed and maintained from the company repository. You are never locked into our service — at offboarding, you may request the latest deployable client-specific files, while Forge The Stack retains ownership of shared frameworks and tooling.

7. Service Level

For managed hosting clients, we target 99.9% uptime. We will respond to critical issues within 4 hours during business hours. Non-critical requests are addressed within 2 business days.

8. Cancellation

  • Monthly management packages can be canceled at any time with 30 days notice
  • No refunds are issued for partial months
  • Upon cancellation, you receive a full clone of your website code and assets
  • We will assist with migration upon request

9. Limitation of Liability

Forge The Stack is not liable for any indirect, incidental, special, or consequential damages arising from your use of our Services. Our total liability is limited to the amount you paid us in the 12 months preceding any claim, except that this limit does not apply to fraud, willful misconduct, confidentiality breaches, or intellectual property infringement claims caused by the responsible party.

10. Dispute Process

Before filing a formal claim, you and Forge The Stack agree to provide written notice of the dispute and allow 30 days for a good-faith effort to resolve it informally. Either party may still seek temporary injunctive relief to protect confidential information or intellectual property.

11. Changes to Terms

We may update these terms from time to time. We will notify clients of material changes via email. Continued use of our Services after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. If a dispute is not resolved during the informal notice period, venue lies in Arizona state or federal courts. Venue and dispute handling terms for signed client agreements may supersede this page when explicitly stated in a mutually executed contract.
